Terms of Service

Last updated: 15 October 2026

These terms govern the use of Edzana, a school management platform provided by Miventech Labs, Nairobi, Kenya (“Miventech Labs”, “we”, “us”), by the school or school group that subscribes to it (the “School”) and by the people the School gives access to (“Users”). By using the service, the School agrees to these terms. Where the School has signed a separate written agreement with us, that agreement takes precedence over these terms where the two differ.

1. The service

Edzana is provided as an online service. We may improve, change or retire parts of it over time. Where a change would materially reduce what the School has subscribed to, we will tell the School in advance. Nothing on our website is a promise of a particular feature unless it is set out in the School’s written agreement.

2. Accounts

  • The School decides who has access to its account, creates User accounts, and assigns roles and permissions.
  • The School is responsible for the accuracy of the information it enters and for all activity under its account.
  • Users must keep their sign-in details confidential, must not share accounts, and should use two-factor authentication where it is offered.
  • The School must tell us promptly at info@miventechlabs.com if it suspects unauthorised access to its account.

3. Acceptable use

The School and its Users must not:

  • use the service in breach of any law, including the Data Protection Act, 2019 and laws protecting children;
  • upload content that is unlawful, harmful, or that infringes anyone else’s rights;
  • try to gain access to data, accounts or systems they are not authorised to use, including other schools’ data;
  • probe, scan or test the security of the service, or interfere with its operation, without our written permission;
  • use the service to send unsolicited or bulk messages that recipients have not agreed to receive;
  • copy, resell, or reverse engineer the service, except as the law allows.

4. The School’s data

The School owns its data. Everything the School and its Users enter or upload remains the School’s. The School gives us permission to host and process it only so far as needed to provide, secure and support the service.

For personal data, the School is the data controller and Miventech Labs is the data processor, acting on the School’s instructions. The School is responsible for having a lawful basis for the data it records, including any consent needed from parents or guardians. How we handle personal data is described in our Privacy Policy.

5. Fees

Subscription fees, billing periods and payment terms are set out in the School’s separate agreement or order with us. Prices shown on our website are indicative. If fees remain unpaid after they fall due and after we have reminded the School, we may suspend access as described below.

6. Availability and support

We use reasonable efforts to keep Edzana available and to fix problems promptly, and we try to schedule maintenance outside school hours. The service may sometimes be unavailable, including because of maintenance, failures of networks or providers outside our control, or events beyond our reasonable control. Unless a service level is agreed with the School in writing, we do not guarantee any particular level of availability.

7. Third-party services

Some features rely on third-party services, such as M-Pesa and card payments, SMS, WhatsApp and email delivery. Their availability and terms are outside our control, and payments are processed by the payment provider, not by Miventech Labs. The School is responsible for its dealings with parents and guardians about school fees.

8. Our intellectual property

Edzana, including its software, design and documentation, belongs to Miventech Labs. The School receives a non-exclusive, non-transferable right to use it for the School’s own purposes during its subscription. If the School sends us feedback, we may use it to improve the service.

9. Limitation of liability

The service is provided on an “as is” and “as available” basis. To the extent the law allows:

  • we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings;
  • our total liability to the School arising from the service in any twelve-month period is limited to the fees the School paid us for the service in that period;
  • we are not responsible for decisions the School makes using information in the service, including reports, analytics and AI-generated suggestions, which the School should review.

Nothing in these terms limits liability that cannot be limited by law, including for fraud.

10. Suspension

We may suspend all or part of the School’s access if fees are overdue, if there is a serious breach of these terms, or where suspension is needed to protect the service, other schools or the people whose data is in it. Where we reasonably can, we will warn the School first and restore access once the reason for suspension is resolved. Suspension does not delete the School’s data.

11. Termination and data export

Either party may end the subscription as set out in the School’s agreement, or, if there is none, by giving the other thirty days’ written notice. Either party may end it immediately by written notice if the other commits a serious breach that is not put right within thirty days of being asked to.

When the subscription ends, the School may ask us to export its data in a commonly used format. After that, we delete the School’s data from the live service, unless the law requires us to keep it, and remaining copies in our backups are overwritten as the backups rotate. Fees already paid are not refundable unless the School’s agreement says otherwise.

12. Changes to these terms

We may update these terms from time to time. We will tell Schools about significant changes before they take effect. Continued use of the service after that date means the School accepts the updated terms.

13. Governing law

These terms are governed by the laws of Kenya. The courts of Nairobi, Kenya have exclusive jurisdiction over any dispute arising from them, although we will first try in good faith to resolve any dispute with the School by discussion.
